Terms of Service & Supply Agreement

These Terms apply to all catalog reorders, bulk full-container programmes, and custom OEM/ODM projects manufactured at our Tangshan facility.

By issuing a Purchase Order (PO), confirming a Proforma Invoice (PI), paying the 30% T/T deposit, or approving custom mold tooling with Tangshan Taitao Sanitary Ware Co., Ltd. (“TAITAO”), the Buyer explicitly agrees to be bound by these standard B2B Terms of Service.

Any contradictory terms or conditions printed on Buyer purchase orders shall have no legal effect unless explicitly countersigned and sealed by an authorized legal representative of TAITAO in writing.

Ceramic sanitary ware manufactured by TAITAO is fired at 1280°C in a 96-meter computerized tunnel kiln, producing a fully vitrified, non-porous ceramic body.

All dimensional specifications are defined by the approved model drawings. The tolerances stated on each model page or golden sample approval sheet are the binding dimensional reference for the order — read the figure for the model you are ordering off its own drawing, because that is the number the tool was cut to.

The Buyer acknowledges that natural ceramic shrinkage occurs during high-temperature firing, and that fired dimensions are assessed against the approved drawing baseline within the agreed tolerances.

For custom-developed products requiring dedicated production molds, TAITAO machines its CNC steel master and plaster production molds 100% in-house through its own tool & die division — proprietary Buyer geometries never leak into the open market.

Mold Ownership & Exclusivity: where the Buyer has paid the agreed mold tooling charge, the custom design remains exclusive to the Buyer. TAITAO will not produce units from that proprietary mold for any other customer.

Golden Sample Approval: new OEM development runs from design approval to a fired first article in 45 days for kitchen and bathroom sinks and 60 days for toilets. The countersigned Golden Sample Approval Sheet locks the mass-production start date.

Mold Fee Terms: mold tooling charges, ownership, and any amortization arrangements are specified in each OEM contract or Proforma Invoice.

All commercial quotations are issued in writing via Proforma Invoice (PI). Quotations remain valid for the validity period stated on the PI.

All prices are quoted per item and exclude destination-country duties, taxes, and clearance fees, unless explicitly stated on the PI.

Standard Terms: a 30% T/T deposit in advance initiates production; the remaining 70% balance is paid prior to shipment.

Production scheduling, raw material preparation, and casting schedules are initiated upon receipt of the deposit.

Itemized Quotation: line-by-line transparency with zero hidden fees — specifications, pricing, lead times, and quality standards are fully documented in a binding contract.

Lead times are fixed in the contract. Production lead time runs from receipt of deposit for existing-mold orders, and from design approval for new OEM development.

Ceramic sanitary ware requires reinforced industrial packaging to withstand intermodal transit and ocean container pitch/roll. Standard TAITAO export packaging is ISTA-3A drop-tested and engineered for both full-container ocean freight (FCL) and fragile parcel courier shipping for e-commerce drop-shipping programmes.

Internal QC: 100% post-firing optical inspection under 1,000-Lux light bars (glaze gloss, color consistency, planar tolerances) and 100% leak and load testing on WC and sink products before packing.

Buyer PSI: the Buyer has the full right to conduct, or appoint a certified third-party inspection agency to perform, a pre-shipment inspection at our Tangshan factory prior to container sealing.

Inspections are scheduled with reasonable notice so that factory production and loading plans can be coordinated.

We offer a 10-year warranty on the ceramic body and a 1-year warranty on flushing mechanisms and accessories.

Coverage applies to verified manufacturing defects — assessed from photos or videos before any remedy is issued. Transit damage is excluded from the manufacturing-defect warranty and is handled under the freight and insurance arrangements of the shipment.

Remedy: in the rare event of a verified defect, we provide 1:1 replacement or credit toward the next order.

When the Buyer instructs TAITAO to laser-etch, underglaze-stamp, or box-print a specific brand trademark, logo, or proprietary product model number, the Buyer represents and warrants that it holds legitimate intellectual property ownership or licensed rights to use said marks.

The Buyer agrees to defend, indemnify, and hold harmless TAITAO against any third-party claims, legal damages, or customs seizures arising from alleged infringement of trademarks or design patents provided by the Buyer.

Neither party shall be held liable for failure or delay in performance caused by circumstances beyond reasonable control, including natural catastrophes, severe weather, port strikes, quarantine embargoes, regional utility curtailments, or government regulatory interventions.

In no event shall TAITAO’s total aggregate liability arising out of or related to any single purchase contract exceed the actual purchase price paid by the Buyer for the specific lot of goods giving rise to the claim.

These Terms and all international supply agreements shall be governed by and construed in accordance with the laws of the People’s Republic of China.

Any dispute, controversy, or claim arising out of or relating to this contract shall first be resolved through friendly negotiation between the parties. Should negotiation fail, the dispute shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with CIETAC’s arbitration rules in effect at the time of applying for arbitration. The arbitral award shall be final and binding upon both parties.
